for Floyd’s 99 Giveaway Sweepstakes

1. Please read these Official Rules before entering Floyd’s 99 Giveaway Sweepstakes (the “Sweepstakes”), presented by Floyd’s 99 Holdings, LLC d/b/a Floyd’s 99 Barbershops (“Sponsor”). By entering the Sweepstakes, you agree to the terms of these Official Rules. These Official Rules shall govern in the event of any inconsistency with other Sweepstakes-related materials. Floyd’s 99 Holdings, LLC is the sole sponsor of this Sweepstakes, which is no way sponsored, endorsed, administered by, or associated with TikTok, Inc., Meta Platforms, Inc., Twitter, Inc., or Google, Inc.
2. SWEEPSTAKES PERIOD: This Sweepstakes begins on December 12, 2022 at 12:01:01 AM Mountain Time (MT) and ends on December 23, 2022 at 11:59:59 PM MT (“Sweepstakes Period”). All eligible entries must be received by December 23, 2022 at 11:59:59 PM MT. Sponsor’s method of timekeeping shall be the official time clock for the Sweepstakes and is final and undisputable.  Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. During the Sweepstakes Period, Sponsor will conduct a total of twelve (12) drawings (each a “Drawing”). Each Drawing shall take place on the schedule described in the Prize table below (each a “Drawing Date”). At the end of each Drawing Date, Sponsor shall randomly draw one (1) potential winner for each Prize from all eligible Entries for the applicable Drawing (each a “Winner”). Eleven of the Drawings will be for multiple Prizes and will have multiple Winners, each of whom will receive one of the designated Prizes for the Drawing Date. Entries from each Drawing that are not drawn as a Winner of a prize described below (“Prize”) will be automatically entered in the next Drawing.  If your entry is drawn, you will be deemed the Winner of that applicable Prize, pending confirmation and/or verification of your eligibility and compliance with these Official Rules.
3. HOW TO ENTER: Visit the official Floyd’s 99 TikTok (@floyds99barbershop) and/or Instagram (@floyds99barbershop) page and: (a) follow the account, (b) comment on the sweepstakes post for that day and (c) tag a friend’s account in your comment (each an “Entry”). You must follow the account and comment on the post tagging a friend for that day’s post for your entry to be complete, any incomplete entries will not be considered and will be disqualified, in the sole discretion of the Sponsor. All information contained in an Entry (“Entry Information”) is subject to Sponsor’s Privacy Policy accessible at: https://www.floydsbarbershop.com/service/privacy-policy/. Failure to follow any instructions provided by the Official Floyd’s 99 Sweepstakes Account or to submit your entry within the applicable Entry Period may result in disqualification.
4. ELIGIBILITY: Open to legal residents of the United States and D.C. (excluding Rhode Island, Hawaii and Alaska), 18 years of age and older as of December 12, 2022, except for employees of Sponsor or its affiliates and subsidiaries or agencies involved in the provision and administration of the Sweepstakes (collectively, the “Sweeps Parties”), and members of their immediate family or persons’ families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in the same household whether or not related. Void where prohibited.
5. PRIZES: Sponsor will award the following Prizes during each respective Drawing within the Sweepstakes Period:

The approximate retail value (“ARV”) of each Prize and the total ARV for all Prizes corresponds to each item above.

Limit one Prize per family or household. No substitution or transfer of Prize permitted by winner. Sponsor reserves the right to substitute a Prize of equal or greater value. All Prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable Prize to an alternate potential Winner by random drawing from among all remaining eligible entries.

6. ENTRY REQUIREMENTS: Limit one (1) Entry per person. By entering, you agree to waive any rights you may have to the Entry submitted. The Entry, or portion thereof, must not contain obscene, profane, lewd, defamatory or inappropriate content, or be disparaging to Sponsor, as determined in Sponsor’s sole discretion. Entries must be in keeping with Sponsor’s image and may not be offensive, as determined by Sponsor in its sole discretion, nor can it defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights. Any Entry or portion thereof that is, in the Sponsor’s sole discretion, obscene, profane, lewd, defamatory, inappropriate, disparaging, offensive or contains proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and you may be disqualified. Potential Winners acknowledge and agree that their Entries become the property of the Sponsor, which thereby has the right to edit, adapt, modify, reproduce, promote and otherwise use Entries in any way it sees fit. Automated, script, macro or robotic Entries submitted by individuals will be disqualified. Any Entry not in compliance with the above and which does not meet the requirements of these Official Rules will be disqualified.
7. DRAWING: A random drawing will be conducted on each Drawing Date by Sponsor to select one (1) potential Winner for each Prize in the quantity designated in the Prize Table above from among all eligible entries received. Odds of winning depend on the number of entries received.

Potential Winners will be notified via a post announcing the potential winners on Sponsor’s Instagram and TikTok by the Sponsor. The potential Winner must claim the Prize by writing to Sponsor via direct message on Instagram or TikTok and sign and return any required Affidavit of Eligibility and Release within five (5) days of the date the notification or such other date set by Sponsor. Failure to respond within the applicable time period will result in forfeiture of Prize and Sponsor shall award the Prize to an alternate Winner.

All applicable local, state, and federal taxes, including without limitation, income taxes resulting from acceptance of Prize are the responsibility of winner. By entering this Sweepstakes, entrant accepts and agrees to these Official Rules and the decisions of the Sponsor, which shall be final in all matters.  Acceptance of a Prize also constitutes permission to the Sponsor to use winner’s name and biographical information for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.

8. LIMITATION OF LIABILITY: By entering this Sweepstakes, entrants waive all right to, and hold the Sweepstakes Parties harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in this Sweepstakes or the acceptance, use, or misuse of any Prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Sponsor will not be responsible for: late, incomplete, or incorrect entries; an entrant’s failure to receive Prize notices due to entrant’s security settings or for entrants’ provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Sweepstakes; by any human error which may occur in the processing of the entries in this Sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the Sweepstakes, or announcement of the Prizes. If, in the Sponsor’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the Sweepstakes, Sponsor reserves the right to request that the Sponsor, in its sole discretion, cancel or modify this Sweepstakes in a manner deemed appropriate by the Sponsor. In the event of termination, winners will be selected from among all eligible entries received as of date of termination.
9. DISCLAIMER: The Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, TikTok, Instagram, Facebook, Meta, Twitter, YouTube, or Any Other Social Media Mediums (collectively, “Social Media Sites”), and in no instance shall the Social Media Sites and their respective subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors be liable for any disputes, claims, causes of action or controversies arising out of or in connection with the Sweepstakes.
10. CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to this Sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of Colorado, without giving effect to any of its conflict of laws provisions thereof that would result in the application of the laws of a State other than Colorado. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this Sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in Denver, Colorado.
